Royalty Free Licensing Agreement
This is a license agreement, not a purchase agreement. We reserve the right of ownership of all intellectual property rights inherent in or relating to the Software, including, but not limited to, all copyrights, patent rights, registered and unregistered trademark rights (including service marks), confidential information (including trade secrets and know-how) and all rights not expressly granted by this License Agreement. 7. Licensee`s Assurances and Warranties: Licensee represents and warrants to GAH that Licensee has the full right and authority to make commitments in accordance with the terms of this Agreement; (ii) At present, the licensee has no restrictions that would compromise its ability to fulfil its obligations under the contract. This license applies only to the version of the software available at the time of purchase, in conjunction with the terms of this license agreement. Any prior or subsequent license granted to you to use the Software is subject to the terms of the agreement entered into in connection with the purchase of that version of the Software. You agree to comply with all applicable laws and regulations regarding the Software, including, but not limited to, all export and re-export laws and regulations. 13. Global Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter of the Contract and supersedes all discussions, agreements and assurances, whether or not performed by licensee or not, either in writing or in writing. This Agreement or any part or provision of this Agreement shall not be deemed to have been adopted, modified or modified by either Party, unless such waiver, addition or modification takes place in writing and is executed by authorized representatives of both Parties.
The purpose of these agreements is not only to issue licenses on a global scale, but also to inform PRO Europe/trademark owner in the defense of trademarks.
